Legal matters and intellectual property (IP)

Any collaboration with an external party needs formal arrangements – in whatever form. Involve your IXA team as early as possible; we will be happy to support your plans. Together with IXA you will negotiate a strong agreement.   

For example, our lawyers have a lot of experience in drafting and negotiating contracts. Does a company or organisation request to use your research results? Together with IXA you will negotiate a strong agreement.   

Our lawyers help with:  

  • Non-disclosure agreements: Also called NDA’s or confidential disclosure agreements (CDA).  Enable open discussions while protecting the rights of each partner. 
  • Research Collaborations and Contract Research: e.g., draft agreements on matching funds, intellectual property, and exploitation rights.
  • Consortium Agreements: set the rules between consortium partners receiving European and Dutch grants.
  • Material Transfer Agreements: agree on the use of ‘materials’ such as cell lines, antibodies, model systems (plants/animals), databases or other items.
  • , Licence Agreements and Joint Ownership Agreements:  cover the rights of third parties or spin-off companies to use certain know-how or intellectual property rights.
  • Contracts related to spin-off companies: from a declaration of intent to shareholders agreements.
